Terms & Conditions

1. Introduction

Welcome to Webespire Consulting Pvt. Ltd. By engaging in our web design & Development services, you ("Client") agree to the following terms and conditions ("Terms"). These Terms govern all services provided by Webespire Consulting Pvt. Ltd. to the Client and form the basis of the agreement.

2. Services

The Company will provide web design, development, and related services as agreed upon in a formal proposal or statement of work. These services may include, but are not limited to, website design, web application development, mobile app design and development, web hosting, maintenance, and search engine optimization (SEO).

3. Project Process

3.1 Proposal Acceptance:
A written proposal will be provided to the Client outlining the project scope, timeline, and costs. The project will begin once the Client has accepted the proposal and made the required deposit.

3.2 Client Responsibilities:
The Client agrees to provide all necessary content, feedback, and approvals in a timely manner to ensure the project proceeds as scheduled. Any delays in providing information may affect the timeline.

3.3 Revisions:
The Client is entitled to 2-3 rounds of revisions for the design phase, as detailed in the proposal. Additional revisions will be billed at the Company's standard hourly rate.

4. Payment Terms

4.1 Deposit:
A non-refundable deposit of 10% of the total project fee is required before work begins. The remaining balance will be due in accordance with the payment schedule outlined in the proposal.

4.2 Late Payments:
Invoices are due within 7 days of receipt. Late payments may result in delayed project delivery, and the Company reserves the right to charge interest at a rate of [Insert Rate]% per month on overdue amounts.

4.3 Ownership of Work:
Ownership of the final work will transfer to the Client upon full payment of all outstanding amounts. Until payment is made in full, all intellectual property rights remain with the Company.

5. Changes to Scope

Any changes to the original project scope, including new features or additional services requested by the Client, may result in additional charges. A change order detailing the costs and impact on the timeline will be provided for approval.

6. Project Timelines

The Company will make every effort to meet the agreed-upon timelines. However, the Client acknowledges that delays may occur due to unforeseen circumstances. The Company is not liable for any damages caused by such delays.

7. Intellectual Property Rights

7.1 Client-Provided Content:
The Client represents and warrants that they have the necessary rights to all content provided to the Company for inclusion in the project.

7.2 Company-Produced Content:
All designs, code, and assets produced by the Company are the intellectual property of the Company until full payment has been made. Upon receipt of full payment, ownership rights are transferred to the Client, excluding any third-party components, stock images, or plugins which may be subject to their own licensing terms.

8. Warranty and Maintenance

The Company offers a warranty period of 3 Months days from the date of project completion for bug fixes and performance issues directly related to the Company's work. This warranty does not cover changes made by the Client or third parties.

Ongoing maintenance services can be provided under a separate agreement.

9. Limitation of Liability

The Company is not liable for any indirect, incidental, or consequential damages arising from the use of the website or services provided. The Client agrees to indemnify and hold the Company harmless against any claims arising from the content or use of the website.

10. Confidentiality

Both parties agree to keep confidential all proprietary information disclosed during the project. This confidentiality obligation will survive the termination of this agreement.

11. Termination

Either party may terminate this agreement upon 15 days written notice. In the event of termination, the Client is responsible for payment of all work completed up to the termination date.

12. Dispute Resolution

Any disputes arising from this agreement will be subject to the laws of Uttar Pradesh, India. The parties agree to resolve any disputes through mediation or arbitration before pursuing legal action.

13. Amendments

The Company reserves the right to amend these Terms at any time. Clients will be notified of any changes, and continued use of the services constitutes acceptance of the updated Terms.

14. Governing Law

This agreement will be governed by and construed in accordance with the laws of India- Gautam Buddh Nagar, without regard to its conflict of law provisions.
